Terms of Service

These Terms of Service ("Terms") govern your use of INEX ("the Service"), provided by UniopX Singapore Pte. Ltd. ("UniopX", "we", "us", "our"). By subscribing to or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
INEX lets you create invoices and log business expenses via a Telegram bot, with documents stored in your own Google Drive and Google Sheets. The Service connects to your Telegram account and your Google account (Drive and Sheets, limited to files the Service itself creates) to operate.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your connected Telegram and Google accounts, and for all activity that occurs under your account. Notify us promptly at javier@uniopx.com if you suspect unauthorized use.
3. Subscriptions and Billing
- The Service is offered on a subscription basis, billed monthly or annually via Stripe, at the pricing displayed on our website at the time of purchase.
- Each subscription tier includes a fixed monthly allowance of invoices and expense documents combined. Usage beyond your tier's allowance may require a top-up purchase or a plan upgrade.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- We may change our pricing with reasonable prior notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
- All payments are non-refundable, as described in our Refund Policy.
- If a payment fails, we may apply a grace period before suspending access to the Service, after which your account may be paused until payment is resolved.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or to create fraudulent invoices or financial records
- Attempt to circumvent usage limits, security controls, or the isolation between tenant accounts
- Reverse-engineer, scrape, or interfere with the Service's operation, including its Telegram bot or underlying infrastructure
- Share your account's Telegram activation link or credentials with anyone outside your own business, except through the Service's own team-invitation feature (where available)
- Use the Service to process data on behalf of third parties in a manner inconsistent with these Terms
We reserve the right to suspend or terminate accounts that violate these terms.
5. Your Data and Content
- Documents you create through the Service (invoices, expense records, and related files) are stored in your own Google Drive and Google Sheets, under your Google account. You retain full ownership of this content at all times.
- We retain limited transaction metadata (amounts, dates, categories, and similar records) in our own systems to operate features such as the ledger, usage tracking, and void/correction handling, as described in our Privacy Policy.
- You are solely responsible for the accuracy of the information you submit to the Service, including invoice details, expense categorization, and tax information (such as GST settings). We provide tools to assist with document creation but do not verify the legal, tax, or accounting accuracy of the documents you generate.
6. Third-Party Services
The Service relies on third-party providers, including Google, Telegram, Stripe, OpenAI, and Supabase, to operate. Your use of the Service is also subject to the applicable terms of these providers. We are not responsible for outages, changes, or actions taken by these third parties that affect the Service.
7. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. The Service may be unavailable from time to time due to maintenance, third-party outages, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime where practical.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, that AI-extracted or AI-generated content will always be accurate, or that it will meet your specific business, tax, or compliance requirements.
9. Limitation of Liability
To the maximum extent permitted by law, UniopX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three (3) months preceding the claim.
Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law.
10. Indemnification
You agree to indemnify and hold UniopX harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party right, including in connection with documents or data you generate through the Service.
11. Termination
- You may cancel your subscription at any time via your account's billing management. Cancellation takes effect at the end of your current billing period.
- We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk to the Service or other users.
- Upon termination, your access to the Service ends, but documents already created remain in your own Google Drive and Sheets, unaffected by termination.
12. Changes to the Service or These Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time; material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
